PNC Infratech incorporates wholly owned subsidiary as SPV for NHAI highway project

PNC Infratech Limited has incorporated a wholly owned subsidiary, Mustafabad Biswariya Highway Private Limited, as a Special Purpose Vehicle (SPV). The certificate of incorporation was received on June 17, 2026, with the entity incorporated a day earlier on June 16, 2026, under CIN U42101DL2026PTC467500.

The incorporation follows PNC Infratech's previous announcements on April 21, 2026, and May 22, 2026. The SPV is a wholly owned subsidiary with no promoter group or related party interests in the entity. The SPV has been set up to execute a highway project awarded by the National Highways Authority of India (NHAI).

Mustafabad Biswariya Highway Private Limited will undertake construction of a 4-lane highway from Mustafabad Design Chainage Km 43+030 to Biswariya Design Chainage Km 101+515 on the NH-927 section in Uttar Pradesh. The project was awarded by NHAI and corresponds to existing chainage from Km 41.700 to Km 98.475. The project will be executed on Hybrid Annuity Mode (HAM) under the NH(O) Scheme (Package-II).

The SPV has an authorized capital of Rs 0.15 crore, divided into 1,50,000 equity shares of Rs 10 each. The subscribed and paid-up capital stands at Rs 0.10 crore with 1,00,000 equity shares of Rs 10 each. The entity is yet to commence business operations.

PNC Infratech Limited, along with its wholly owned subsidiary PNC Infra Holdings Limited, has subscribed to 100 percent of the equity shares of the SPV. The cash consideration for the initial subscription aggregates to Rs 0.10 crore for 1,00,000 equity shares at a face value of Rs 10 per share.

The disclosure was made to the exchanges under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.
