PVR INOX Promoters Confirm No Fresh Encumbrance on Shares in FY26

PVR INOX Limited has informed stock exchanges that its promoters and promoter group did not create any fresh encumbrance on their shares during the financial year ended March 31, 2026. Promoter Ajay Kumar Bijli submitted the declaration to the National Stock Exchange of India and BSE Limited.

The filing was made under Regulation 31(4) of the SEBI Takeover Regulations. This regulation requires promoters of listed companies to submit an annual statement disclosing encumbrances created on their shareholding. PVR INOX promoters confirmed that no encumbrance was created during the year other than those already disclosed in prior filings.

The promoter group covered by the declaration includes Selena Bijli, Nayana Bijli, Niharika Bijli, and Aamer Krishan Bijli. Ajay Kumar Bijli signed the declaration on their behalf. The declaration affirms that no shares forming part of the promoter and promoter group shareholding were pledged or otherwise encumbered during the financial year.

PVR INOX was formed through the amalgamation of PVR Limited and INOX Leisure Limited, with the merger receiving approval from the National Company Law Tribunal in February 2023. The company operates a nationwide multiplex network with screens across metropolitan areas and tier-2 cities, making it one of the largest cinema exhibition chains in India.

The compliance submission was made to both stock exchanges after trading hours on June 3, 2026. The announcement was released to the public on the same day.
