All transferor entities are wholly owned by Radico Khaitan Limited.
The NCLT order directed the dispensation of the meeting of equity shareholders of the Transferor Companies. The tribunal also directed the dispensation of the meeting of equity shareholders, secured creditors, and unsecured creditors of the Transferee Company.
Radico Khaitan Limited initially communicated the proposed amalgamation on October 29, 2025. The amalgamation is structured to consolidate the wholly owned subsidiary and step-down entities into Radico Khaitan Limited. The NCLT order clears a procedural requirement and advances the amalgamation process.
