Sammaan Capital Allots NCDs Worth Rs 1,400 Crore on Private Placement Basis

Sammaan Capital Limited has allotted 14,000 secured, rated, listed, redeemable, non-convertible debentures across two series on a private placement basis, raising a total of Rs 1,400 crore. The allotment was executed on July 3, 2026, following a board authorization dated May 20, 2026 and a resolution passed by the Securities Issuance and Investment Committee on June 30, 2026.

Under Series I, Sammaan Capital allotted 8,000 NCDs with a face value of Rs 10,00,000 each, aggregating to Rs 800 crore. These debentures carry a fixed coupon rate of 8.03 percent per annum, payable annually, and mature on September 8, 2027. The instruments are listed under ISIN INE148I07HX6.

Under Series II, Sammaan Capital allotted 6,000 NCDs with a face value of Rs 10,00,000 each, aggregating to Rs 600 crore. These debentures carry a fixed coupon rate of 8.43 percent per annum, payable annually, and mature on February 22, 2028. The instruments are listed under ISIN INE148I07IQ8.

The NCDs are a re-issuance of existing instruments with a residual tenor of 1.18 years for Series I and 1.64 years for Series II. The NCDs will be listed on the National Stock Exchange of India and BSE Limited. The debentures are secured by a charge by way of hypothecation on the financial and non-financial assets of Sammaan Capital, including loan assets, on a first pari-passu basis with other secured lenders.

In case of default in payment of interest or principal redemption on the due dates, an additional interest of at least 2 percent per annum over the coupon rate will be payable for the defaulting period. The NCDs carry a minimum asset or security cover of 1.25 times the principal amount and accrued interest.
