Samvardhana Motherson International Limited, through its indirect wholly-owned subsidiary SMR Automotive (Langfang) Co. Ltd. will acquire a controlling stake in Shenzhen Autocruis Technology Co. Ltd. The board of directors approved the transaction at its meeting held on June 17, 2026.
SMR Langfang will invest CNY 153.3 million (approximately USD 22.6 million) by subscribing to fresh equity, securing a 64.76% stake on a fully diluted basis. Following the initial acquisition, the target will undertake a buy-back of its equity, after which SMR Langfang's holding will increase to 67.78% of the equity share capital.
Shenzhen Autocruis Technology, incorporated on April 28, 2016, designs and develops automotive vision and camera-based systems for commercial and passenger vehicles. Its product range includes Camera Monitoring Systems, Full Digital Mirror systems, surround-view systems, Driver Monitoring Systems, and Digital Video Recorders. Headquartered in Shenzhen with R&D operations in Wuhan and a production facility near Ningbo, the target serves both OEM and aftermarket customers and reported a turnover of CNY 46 million (USD 6.8 million) for FY2025.
The acquisition will expand Samvardhana Motherson's product portfolio with camera-based solutions and strengthen in-house technology capabilities in image quality, algorithms, video processing, and FPGA. The transaction also provides access to the Chinese automotive market through established relationships with key commercial vehicle and passenger car OEMs.
The consideration is in cash, and the transaction is not a related party transaction. As part of the deal, a Shareholders Agreement has been executed, granting Samvardhana Motherson majority directors on the target's board, a right of first refusal, and a non-compete obligation from existing founders for three years. Completion is expected by Q3 FY2027, subject to customary regulatory approvals in China.
