Samvardhana Motherson International dissolves Shanghai subsidiary

Samvardhana Motherson International Limited has informed stock exchanges that the Market Regulation Administration of Shanghai has dissolved Motherson DRSC Automotive Product Trading Shanghai Co Ltd, an indirect wholly owned subsidiary, from its Register. The disclosure was made under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations 2015, as amended.

Motherson DRSC was originally acquired on October 2 2023 as part of the acquisition of the Dr Schneider Holding GmbH Group by Samvardhana Motherson International. Dr Schneider Holding GmbH is a Germany-based automotive components manufacturer with global operations.

The Shanghai-based subsidiary was not carrying out any business or operations at the time of its dissolution. Shareholders of Motherson DRSC approved the voluntary winding up of the entity given its inactive status.

The Market Regulation Administration of Shanghai approved the dissolution with effect from June 29 2026. Samvardhana Motherson International received the formal approval from the regulatory authority on July 1 2026.

For the financial year ended FY2025-26 Motherson DRSC reported income of Rs 5 crore and net worth of Rs 2.5 crore. The subsidiary income contributed negligibly, or zero percent, to the consolidated revenue of Samvardhana Motherson International. Motherson DRSC contributed zero percent to the consolidated net worth of the parent entity as of the end of FY2025-26.

The voluntary dissolution of Motherson DRSC has no impact on the consolidated net worth of Samvardhana Motherson International, the company stated in its regulatory filing.
