Vodafone Idea promoters declare no fresh share encumbrance in FY26

Vodafone Idea Limited has submitted a disclosure to BSE Limited and the National Stock Exchange of India Limited confirming that its promoter shareholders did not create any fresh encumbrance on their shares during the financial year ended 31 March 2026. The filing was made on 10 June 2026.

The declaration under Regulation 31(4) of the SEBI Takeover Regulations was submitted jointly by ten promoter entities. These include Vodafone Telecommunications (India) Limited, Omega Telecom Holdings Private Limited, Usha Martin Telematics Limited, Al-Amin Investments Limited, Asian Telecommunication Investments (Mauritius) Limited, CCII (Mauritius) Inc. Euro Pacific Securities Ltd, Mobilvest, Prime Metals Ltd, and Trans Crystal Ltd. The group is collectively referred to as the Vodafone Promoter Shareholders.

The Vodafone Promoter Shareholders along with persons acting in concert with them declared that no encumbrance was created, directly or indirectly, on shares of Vodafone Idea during the fiscal year. An encumbrance previously reported to the exchanges on 2 January 2026 was the only exception to this declaration.

The filing was signed by authorised signatories of the promoter entities. Ashraf Ali signed on behalf of Omega Telecom Holdings Private Limited and Usha Martin Telematics Limited. Adriaan Van Niekerk signed as director for CCII (Mauritius) Inc. Mobilvest, Trans Crystal Ltd, Asian Telecommunication Investments (Mauritius) Limited, Euro Pacific Securities Ltd, Prime Metals Ltd, and Vodafone Telecommunications (India) Limited.

The declaration covers the shareholding of the promoter group and persons acting in concert during the financial year ended 31 March 2026. This annual disclosure is required under Regulation 31(4) of the Takeover Code.
