Oracle Financial Services Software Fulfils Conditions Precedent for Software Licensing Transaction

Oracle Financial Services Software Limited has announced the fulfilment of conditions precedent for a software licensing transaction with an existing customer that is a global bank headquartered in the United States. Oracle Corporation, the ultimate holding company of OFSS, was also party to the definitive agreement. The License Agreement and other applicable agreements are now being signed between OFSS, Oracle Corporation, and the customer.

OFSS had initially disclosed the definitive agreement on March 26, 2026. Under the proposed transaction, OFSS will license certain software products to the customer in perpetuity, granting the customer ongoing usage rights to the software. The agreement also requires OFSS to provide transition services to the customer for a defined period. Personnel transfer and related aspects are included as part of the overall arrangement between the parties.

The conditions precedent were required to be satisfied on or before May 29, 2026. OFSS has confirmed that all these conditions have been fulfilled. The parties are now proceeding with the signing and execution of the definitive agreements.

The announcement was made to the National Stock Exchange of India and BSE under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015. OFSS noted that detailed information regarding the transaction was previously disclosed in its communication dated March 26, 2026. The current regulatory filing serves as an update to the stock exchanges on the progress of the proposed transaction.
